These Terms and Conditions ("Terms") govern your access to and use of the website and services provided by Catalyst Verticals, LLC, operating as Catalyst MedFlo ("Catalyst MedFlo," "we," "us," or "our"). By accessing or using our website or services, you agree to these Terms. If you do not agree, do not use the services.
The services
Catalyst MedFlo provides a connected practice-operations and EHR platform and related services. We may update, add to, or discontinue features from time to time.
Eligibility and accounts
You must be authorized to enter into these Terms on behalf of your practice or organization. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
Acceptable use
You agree not to misuse the services, including by attempting to gain unauthorized access, interfering with the platform's operation, uploading unlawful or infringing content, or using the services in violation of applicable law or the rights of others.
Customer data and PHI
As between the parties, your practice owns the data you submit. Where we process protected health information on your behalf, that processing is governed by a Business Associate Agreement in addition to these Terms. You are responsible for obtaining any necessary consents and for the accuracy of the data you provide.
Fees and payment
Fees for the services are set out in your order or subscription. Unless stated otherwise, fees are billed in advance, are non-refundable except as required by law, and may be revised on renewal with notice.
Intellectual property
The platform, software, and all related materials are owned by Catalyst MedFlo or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the services in accordance with these Terms.
Third-party services
The services may integrate with third-party products. Your use of those products is governed by their own terms, and we are not responsible for third-party services.
Disclaimers
The services are provided "as is" and "as available" without warranties of any kind, whether express or implied, to the fullest extent permitted by law. Catalyst MedFlo does not provide medical advice, and clinical decisions remain the responsibility of qualified professionals.
Limitation of liability
To the fullest extent permitted by law, Catalyst MedFlo will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or data, arising out of or relating to your use of the services.
Indemnification
You agree to indemnify and hold Catalyst MedFlo harmless from claims arising out of your use of the services or your breach of these Terms, to the extent permitted by law.
Termination
We may suspend or terminate access to the services for violations of these Terms or as otherwise set out in your agreement. Provisions that by their nature should survive termination will survive.
Governing law
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules.
Dispute resolution and arbitration
Any dispute, claim or controversy arising out of or relating to these Terms or the services will be resolved by final and binding arbitration rather than in court. The arbitration will be seated in the State of Florida and administered by a recognized arbitration provider in accordance with its rules then in effect. Judgment on the arbitrator's award may be entered in any court having jurisdiction.
Each party waives any right to a trial by jury. To the fullest extent permitted by law, disputes will be arbitrated only on an individual basis, and each party waives any right to participate in a class, collective or representative action. This section does not prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information.
Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "last updated" date above and, where appropriate, provide additional notice. Continued use of the services after changes take effect constitutes acceptance.
